TERMS AND CONDITIONS

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your registration for and participation in the Motiv Brands Invitational (the "Event"), hosted by Motiv Brands, Inc. ("Motiv Brands," "we," "us," or "our"). By submitting a registration request, you agree to be bound by these Terms.

2. About the Event

The Event is an invitation-only golf tournament scheduled for Wednesday, January 27, 2027, at Bali Hai Golf Club, 5160 South Las Vegas Boulevard, Las Vegas, Nevada, limited to a field of 48 players.

3. Registration and Confirmation

Submitting the registration form is a request to attend, not a guarantee of a confirmed spot. Motiv Brands will review registrations and confirm participation at its sole discretion, based on field availability and other factors. Motiv Brands reserves the right to accept, decline, or waitlist any registration.

4. Assumption of Risk

Golf involves inherent risks, including but not limited to physical injury, damage to personal property, exposure to outdoor elements, and travel-related risks. By participating in the Event, you voluntarily assume all such risks, known and unknown, and acknowledge that Motiv Brands does not guarantee your safety.

5. Release and Waiver of Liability

To the fullest extent permitted by law, you release, waive, and discharge Motiv Brands, Inc., Standard Information, Bali Hai Golf Club, and each of their respective officers, employees, agents, sponsors, and affiliates (collectively, the "Released Parties") from any and all liability, claims, demands, or causes of action arising out of or related to your participation in the Event, including claims of negligence, except to the extent caused by the gross negligence or willful misconduct of a Released Party.

6. Code of Conduct

Participants are expected to conduct themselves in a respectful, sportsmanlike manner throughout the Event, and to comply with all rules and policies of Bali Hai Golf Club and applicable law, including any rules regarding alcohol consumption. Motiv Brands reserves the right to remove any participant from the Event for conduct it deems inappropriate or unsafe, without refund or compensation.

7. Photography, Video, and Publicity

The Event may be photographed, filmed, or recorded. By participating, you grant Motiv Brands a perpetual, worldwide, royalty-free license to use your name, likeness, image, voice, and company or organization affiliation, captured during the Event, in connection with promoting the Event and future Motiv Brands events, in any media now known or later developed. This includes public disclosure that you attended the Event, as described in our Privacy Policy above.

8. Prizes and Raffle Drawings

The Event may include raffle prize drawings donated by Event sponsors. Prizes are awarded at random, are non-transferable, and cannot be exchanged for cash unless stated otherwise. Registration for the Event does not guarantee eligibility for or receipt of any prize. Odds of winning depend on the number of participants and prizes available.

9. Cancellation and Changes

Motiv Brands reserves the right to modify, postpone, or cancel the Event, or any part of it, at its sole discretion, including due to weather, venue availability, insufficient registration, or other circumstances beyond its control. Motiv Brands is not responsible for any costs you incur in connection with the Event, including travel or lodging, in the event of a cancellation or change.

10. Limitation of Liability

To the fullest extent permitted by law, the Released Parties shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Event or these Terms.

11. Indemnification

You agree to indemnify and hold harmless the Released Parties from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your participation in the Event or violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles.

13. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Motiv Brands regarding the Event.
