1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your sponsorship of the Motiv Brands Invitational (the "Event"), hosted by Motiv Brands, Inc. ("Motiv Brands," "we," "us," or "our"). By submitting payment or committing to an in-kind donation, you ("Sponsor") agree to be bound by these Terms.
2. Sponsorship Packages
Sponsorship opportunities, pricing, and included benefits are described on the Event's sponsorship page at the time of your commitment. Sponsorships and raffle prize donations are confirmed on a first-commitment basis and are subject to availability.
3. Payment Terms
Payment is due at the time of sponsorship commitment via the payment methods made available at checkout. All sponsorship payments are non-refundable, except as described in Section 9 (Event Cancellation).
4. Sponsorship Deliverables
Motiv Brands will provide the benefits described for your sponsorship tier at the time of purchase, including applicable signage, event program recognition, and promotional mentions. Sponsor is responsible for providing required logo files, artwork, or other materials by the deadline communicated by Motiv Brands. Motiv Brands is not responsible for benefits that cannot be fulfilled due to Sponsor's failure to provide required materials in a timely manner.
5. License to Use Sponsor Marks
Sponsor grants Motiv Brands a limited, non-exclusive, royalty-free license to use Sponsor's name, logo, and trademarks solely in connection with promoting the Event and fulfilling the sponsorship benefits described herein. This license terminates upon completion of the Event and related promotional activities, except with respect to historical archives, past-event recaps, and similar retrospective use.
6. In-Kind Prize Donations
If Sponsor is donating an item as a raffle prize rather than (or in addition to) a monetary sponsorship, the following additional terms apply:
- Sponsor represents that the donated item is new, in good working condition, and free of any liens or encumbrances, unless otherwise disclosed and agreed
- Sponsor is responsible for delivering the item to the location and by the deadline specified by Motiv Brands
- Motiv Brands is not responsible for the condition, functionality, or value of donated items, and makes no warranties regarding donated prizes to Event participants
- Motiv Brands reserves the right to substitute a prize of comparable value if a donated item becomes unavailable
7. No Partnership Created
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between Sponsor and Motiv Brands. Sponsor is not authorized to make representations or commitments on behalf of Motiv Brands.
8. Event Changes
Motiv Brands reserves the right to modify the format, schedule, or details of the Event at its sole discretion, provided that it will make reasonable efforts to preserve the sponsorship benefits described at the time of Sponsor's commitment.
9. Event Cancellation
If Motiv Brands cancels the Event entirely, Sponsor will be offered, at Motiv Brands' discretion, either (a) a full refund of amounts paid, or (b) credit toward sponsorship of a future Motiv Brands event. Motiv Brands is not responsible for any other costs or losses Sponsor incurs in connection with the Event.
10. Limitation of Liability
To the fullest extent permitted by law, Motiv Brands' total liability to Sponsor arising out of or related to these Terms or the Event shall not exceed the amount actually paid by Sponsor for its sponsorship. Motiv Brands shall not be liable for any indirect, incidental, special, or consequential damages, including lost business or lost profits.
11. Indemnification
Sponsor agrees to indemnify and hold harmless Motiv Brands, Inc., Standard Information, Bali Hai Golf Club, and their respective officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of Sponsor's materials, products, or donated items, or Sponsor's breach of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles.
13. Miscellaneous
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between Sponsor and Motiv Brands regarding the Event sponsorship.
